Morrigan & Forseti Ltd

Security, custody and compliance oversight for asset-backed private structures

Morrigan & Forseti Ltd is an independent transaction trustee appointed in private cross-border financing structures — providing documentary governance, collateral oversight, obligation monitoring and reporting under the relevant transaction documents.

01

Why counterparties appoint us

Private secured transactions depend on more than commercial promises. They require a dedicated party to document, monitor and administer obligations across the life of the structure.

A structuring layer sponsors can rely on

Sponsors need an institutional layer that orders the structure, formalises roles and reduces execution friction between the parties.

Clarity for investors and counterparties

Counterparties need clear sight of the collateral, the documents, the covenants and the events that would constitute a default.

Obligations that are actually administered

A party must hold the security, keep the records and act on the documentary steps that are triggered when defined events occur.

Trust built on process, not assurances

Confidence should rest on procedures, documents, controls and reporting — not on commercial assurances alone.

Who we are

Morrigan & Forseti Ltd is a UK-incorporated company established to act as an independent trustee and transaction governance provider within private international financing structures.

We support secured transactions by providing a structured framework for documentation control, collateral oversight, compliance monitoring, record-keeping and reporting.

Our appointment is always governed by the relevant transaction documents. We act within a defined mandate, providing clarity, traceability and procedural discipline throughout the life of each structure.

03

What we do

Four defined functions within secured financing arrangements, each performed under the terms of the relevant transaction documents.

01

Security Trustee

Acting for the secured parties under the security and intercreditor documents. We hold and administer the security interest, maintain records of the collateral position and coordinate the documentary steps required when defined events are triggered.

02

Collateral Administration & Custody

Oversight of collateral documentation and traceability — segregation, inventories, evidence of the asset’s existence, custody records, and the conditions for release or substitution of collateral, as set out in the transaction documents.

03

Compliance Agency

Monitoring of documentary obligations, KYC/KYB and screening, covenants and periodic deliverables — with reporting and timely alerts where an obligation is missed or a default condition arises.

04

Transaction Governance & Reporting

Document control, milestone tracking, conditions precedent and a record of communications across the structure — with periodic reporting to entitled parties and support to the enforcement process where the documents so provide.

04

A framework built for secured structures

Our role is built around neutrality between the parties and disciplined administration of the documents that hold a structure together — applicable across private, cross-border and secured asset-backed arrangements, each under its own mandate.

Neutrality between the parties to a transaction.

A single, structured point of documentary control.

Oversight of the collateral position, its records and supporting evidence.

Monitoring of obligations, covenants and compliance deliverables.

Traceability and reporting throughout the life of the structure.
